These Terms of Service ("Terms") constitute a legally binding agreement between Bhatt Group Ltd ("Company", "we", "our", or "us") and any individual or entity ("Customer", "User", "you", or "your") accessing or using ReviewMinister through https://review.ministerai.app, our applications, APIs, software, products, services, QR/NFC products, integrations, and related offerings (collectively, the "Services").
By creating an account, purchasing a subscription, placing an order, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Refund Policy, and any other policies referenced herein.
If you do not agree with these Terms, you must not use the Services.
1. Definitions

Order means any purchase made through the platform, including subscriptions, physical products, NFC products, QR products, software licenses, or additional services.
Platform means ReviewMinister and all associated websites, APIs, applications, dashboards, integrations, and software.
Subscription means any recurring paid plan offered by the Company.
User means any person accessing the Services, whether as an account owner, administrator, employee, contractor, or authorized representative.
2. Acceptance of these Terms
By accessing or using the Services, you represent and warrant that:
- you are at least 18 years of age or the legal age required in your jurisdiction;
- you have the legal capacity to enter into a binding agreement;
- if acting on behalf of a business or organization, you have authority to legally bind that entity;

- additional services introduced in the future.
Certain features are available only on selected subscription plans.
5. Account Registration
You agree to:

- maintain current contact information;
- protect your login credentials;
- prevent unauthorized access;
- notify us immediately if you believe your account has been compromised.
You remain responsible for all activities occurring under your account unless caused by our negligence or security breach.

- the account owner controls the organization;

- administrators are responsible for permission management;
- the organization is responsible for all activities performed by authorized users.

Cancellation prevents future renewals but does not automatically entitle you to a refund.

18. Effect of Termination
Following termination:
- your licence to use the Services immediately ends;
- access to your account may be disabled;
- subscriptions cease unless otherwise required by law;
- stored data may be retained for the period described in our Privacy Policy;
- we may permanently delete data after applicable retention periods expire.
Certain provisions of these Terms survive termination, including but not limited to:

- outputs should always be reviewed before publication;
- you remain solely responsible for anything you publish or distribute.
AI outputs do not constitute:
- legal advice;
- financial advice;
- tax advice;
- medical advice;
- regulatory advice;
- professional consulting.
You should seek qualified professional advice where appropriate.
22. Review Authenticity
ReviewMinister is designed to assist businesses in collecting and managing genuine customer feedback.
You agree not to use the Services to:
- generate fake customer reviews;
- impersonate customers;
- submit reviews for experiences that never occurred;
- manipulate review platforms;
- violate the terms of Google, Trustpilot, TripAdvisor, Yelp, Facebook, or any other third-party platform;
- artificially inflate ratings.
AI-generated review suggestions are intended only to help genuine customers express their own authentic experiences.
Customers remain solely responsible for deciding whether to use, edit, or reject AI-generated suggestions.
23. Third-Party Platforms
The Services may integrate with third-party providers including payment processors, mapping providers, AI providers, authentication providers, messaging providers, review platforms, analytics providers, and cloud infrastructure providers.
Examples include:
- Stripe
- Supabase
- OpenAI
- Anthropic
- Google Gemini
- Meta
- Microsoft
- Twilio
These integrations are governed by the respective providers' own terms and privacy policies.
We are not responsible for outages, policy changes, API limitations, pricing changes, or actions taken by third-party providers.
24. User Content
You retain ownership of content that you submit to the platform.
By uploading content you grant Bhatt Group Ltd a worldwide, non-exclusive, royalty-free licence to:
- host;

- process;
- transmit;
- analyse;
- back up;
- display where necessary;
- generate AI outputs;
- provide the Services.
This licence exists solely for the purpose of operating, improving, securing, and maintaining the Services.
25. Customer Responsibilities
You are responsible for:
- maintaining accurate account information;
- ensuring lawful use of the Services;
- obtaining any permissions required from your customers;
- complying with applicable privacy laws;
- protecting login credentials;
- reviewing AI-generated outputs before publication;
- ensuring uploaded content does not infringe third-party rights.
26. Data Accuracy
We rely on information supplied by customers.
You acknowledge that:
- inaccurate inputs may produce inaccurate outputs;
- AI cannot independently verify factual accuracy;
- business analytics depend on available data;
- recommendations may vary over time.
We are not responsible for decisions made solely on the basis of AI-generated content.
27. Fair Usage
Certain Services are subject to reasonable usage limits.
Fair usage controls may apply to:

- storage;
- API usage;
- exports;

- notifications;
- background processing;
- bandwidth;

Current limits are published in our Fair Usage Policy or displayed within your account.
Attempts to circumvent these limits may result in suspension or plan restrictions.

Nothing in these Terms transfers ownership of our intellectual property to you.
32. Licence to Use the Services
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Services solely for your internal business purposes.
This licence does not permit you to:

This does not affect ownership of your separate intellectual property.

Subject to these Terms, you grant us permission to process Customer Data solely for the purposes of:

- detecting fraud;

- creating backups;

We do not sell Customer Data to third parties.

Neither party may disclose Confidential Information except:

These obligations survive termination.
40. Backups
Although we perform routine backups, you remain responsible for maintaining your own copies of important business information.
We recommend regularly exporting critical business data.
We are not responsible for losses arising solely from your failure to maintain independent backups.

To maintain platform reliability, we may monitor:

You are solely responsible for reviewing all AI-generated content before relying upon or publishing it.
You should not rely upon AI-generated outputs as the sole basis for business, financial, legal, medical, regulatory, or other important decisions.
46. Future Features
The Company may introduce new products, integrations, AI capabilities, APIs, workflows, and premium functionality.
Unless expressly stated otherwise, such features shall automatically become subject to these Terms upon release.
47. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
Except where expressly stated in these Terms, Bhatt Group Ltd makes no warranties, representations, or guarantees regarding the Services, whether express, implied, statutory, or otherwise.
Without limitation, we do not warrant that:
- the Services will be uninterrupted;
- the Services will always be available;
- the Services will be error-free;
- defects will always be corrected immediately;
- AI-generated outputs will be accurate or suitable for your intended purpose;
- third-party integrations will remain continuously available;
- the Services will meet every business requirement;
- the Services will always be compatible with future software, hardware, browsers, operating systems, or third-party platforms.
To the extent permitted by law, all implied warranties, including merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement, are excluded.
Nothing in this section excludes warranties that cannot legally be excluded.
48. Limitation of Liability
To the fullest extent permitted by law, Bhatt Group Ltd, its directors, officers, employees, contractors, affiliates, licensors, suppliers, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or economic damages arising out of or relating to the Services.
This includes, without limitation:
- loss of profits;
- loss of revenue;
- loss of goodwill;
- business interruption;
- loss of business opportunity;
- loss of anticipated savings;
- loss of customers;
- loss of reputation;
- loss of data;
- corruption of data;
- system downtime;
- replacement costs;
- cyber attacks by third parties;
- AI-generated inaccuracies;
- third-party platform actions;
- review platform decisions;
- search engine ranking changes.
Where liability cannot legally be excluded, our aggregate liability for all claims arising during the twelve (12) months preceding the claim shall not exceed the total amount actually paid by you to Bhatt Group Ltd during that same twelve-month period.
Some jurisdictions do not permit certain liability limitations. In such jurisdictions, liability shall be limited to the maximum extent permitted by applicable law.
49. Indemnification
You agree to indemnify, defend, and hold harmless Bhatt Group Ltd, its affiliates, directors, officers, employees, contractors, licensors, successors, and assigns from and against any claims, losses, liabilities, damages, judgments, settlements, penalties, costs, and expenses (including reasonable legal fees) arising from or relating to:
- your breach of these Terms;
- your misuse of the Services;
- your Customer Data;
- content published through your account;
- infringement of third-party intellectual property rights;
- violation of applicable laws or regulations;
- fraudulent or deceptive activity;
- reviews submitted in violation of third-party platform policies;
- disputes between you and your customers.
This obligation survives termination of these Terms.
50. Force Majeure
Neither party shall be liable for delays or failures to perform obligations caused by events beyond reasonable control, including but not limited to:
- natural disasters;
- floods;
- earthquakes;
- fires;
- epidemics;
- pandemics;
- war;
- terrorism;
- civil unrest;
- labour disputes;
- utility failures;
- internet outages;
- cloud provider failures;
- telecommunications failures;
- governmental actions;
- sanctions;
- changes in applicable law;
- cyber attacks by third parties.
Performance shall resume as soon as reasonably practicable following the cessation of the force majeure event.
51. Assignment
You may not assign, transfer, sublicense, or otherwise transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer these Terms as part of:
- a merger;
- acquisition;
- restructuring;
- financing;
- sale of assets;
- corporate reorganisation.

- Data Processing Addendum (where applicable);
- Order confirmation;
- Subscription details;
- any additional written agreement expressly incorporated by reference.
These documents supersede all prior discussions, negotiations, proposals, and agreements relating to the Services.
55. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Nothing in these Terms limits any mandatory rights available to consumers under applicable law.
56. Dispute Resolution
Before commencing legal proceedings, both parties agree to attempt in good faith to resolve any dispute by contacting the other party.

59. Acceptance of these Terms

- you have had the opportunity to seek independent legal advice if desired;
